Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SHOPNEO Exprex AffiliPro and related services offered at or through shopneo.net (collectively, the “Platform”). “We,” “us,” or “SHOPNEO” refers to the Platform operator. “You” refers to the individual and the business entity you represent.
1. Acceptance of Terms
By creating an account, accessing, or using the Platform, you agree to these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
If you do not agree, do not access or use the Platform.
2. Services Overview
B2B Marketplace: Supplier discovery, RFQs, negotiated pricing, catalog listing, and order management.
E‑Commerce: Storefront tools, product management, checkout, payments through supported processors, shipping integrations.
Affiliate Marketing: Campaign management, link/offer tracking, real‑time analytics, and commission disbursements.
Additional Modules: Analytics, API access, integrations, and team management features may be available based on your plan.
We may update or modify features at any time. Material changes will be communicated via the Platform or email.
3. Accounts and Eligibility
You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.
One account per authorized individual; organizational accounts may include multiple users with assigned roles.
You are responsible for maintaining accurate account information, safeguarding credentials, and all activities under your account.
We may require identity and business verification (KYC/KYB), including documentation, for fraud prevention, regulatory compliance, payouts, or higher transaction limits.
4. Plans, Billing, and Fees
Access is offered on subscription tiers (e.g., Basic, Pro) and/or usage-based fees as displayed at checkout or in your admin billing section.
Taxes may apply. All fees are non‑refundable unless required by law.
You authorize us and/or our payment processors to charge your payment method for recurring subscriptions, usage fees, or other agreed charges.
Late or failed payments may result in suspension or termination of services.
5. Marketplace Transactions
Contracts for the sale or purchase of goods/services are directly between buyers and suppliers/merchants. SHOPNEO is not a party to those contracts and does not take title to goods.
Sellers must ensure product legality, accurate descriptions, pricing, availability, and compliance with applicable laws and standards.
Buyers must perform due diligence and comply with import/export, sanctions, and regulatory requirements.
Disputes between buyers and sellers should be resolved between the parties. We may, at our discretion, facilitate communication but are not obligated to mediate or resolve disputes.
6. Affiliate Program
Affiliates must comply with all campaign rules, disclosure requirements, and applicable advertising, consumer protection, and privacy laws.
Prohibited conduct includes: misleading claims, spam, unauthorized incentives, cookie stuffing, ad fraud, trademark bidding where restricted, and promoting illegal products.
Commissions are calculated per program terms and are subject to adjustment for refunds, chargebacks, fraud, policy violations, or data corrections.
We may withhold or forfeit commissions for suspected fraud or violations pending investigation.
7. Acceptable Use
You agree not to:
Violate laws or third‑party rights; upload illegal, counterfeit, or unsafe content.
Engage in fraud, money laundering, sanctions evasion, or other prohibited activity.
Interfere with Platform security or integrity, probe or scan systems, or circumvent access controls.
Transmit malware or harmful code.
Misuse the Platform to collect personal data without consent or lawful basis.
Resell or sublicense access except as expressly permitted.
We may suspend or terminate accounts for violations.
8. Content and IP
Your Content: You retain ownership of the content you provide. You grant SHOPNEO a worldwide, non‑exclusive, royalty‑free license to host, use, display, reproduce, and distribute your content as necessary to operate and improve the Platform and to display listings.
Third‑Party Content: The Platform may display third‑party content and links. We do not endorse or assume responsibility for such content.
SHOPNEO IP: The Platform, software, trademarks, and documentation are owned by us or our licensors and are protected by IP laws. No rights are granted except as expressly stated.
9. Payments, Payouts, and Taxes
Payments and payouts may be facilitated by third‑party processors. Your use of those services may be subject to their terms and compliance checks.
You are responsible for your taxes arising from sales, commissions, or other earnings. We may issue tax forms where legally required.
We may set transaction limits, reserves, or holds to manage risk, fraud, or chargebacks.
10. Data Protection and Privacy
We process personal and business data as described in our Privacy Policy and in accordance with applicable laws.
You are responsible for your own privacy compliance when collecting or processing data via the Platform (e.g., customer data, affiliate referrals).
If you enable integrations, data may be shared with integration providers under your direction.
11. Security
We implement reasonable administrative, technical, and physical safeguards. No method of transmission or storage is 100% secure.
You must implement appropriate security measures in your own systems, including strong passwords, 2FA, and least‑privilege access for your team.
12. API and Integrations
If you use our APIs, you must comply with published API documentation and rate limits.
We may revoke API access for abuse, security risks, or policy violations.
You are responsible for the actions of third‑party apps you connect and any data shared.
13. Warranties and Disclaimers
The Platform is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
We do not guarantee continuous, uninterrupted, or error‑free operation, nor specific business outcomes.
14. Limitation of Liability
To the maximum extent permitted by law, SHOPNEO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.
Our aggregate liability for any claim arising out of or relating to the Terms or the Platform will not exceed the greater of: (a) the amounts paid by you to us in the 3 months preceding the claim, or (b) USD $100.
15. Indemnification
You agree to defend, indemnify, and hold harmless SHOPNEO, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
Your use of the Platform;
Your content, products, or services;
Your breach of these Terms or applicable laws; or
Your interactions or agreements with other users, customers, or affiliates.
16. Term, Suspension, and Termination
These Terms remain in effect while you use the Platform.
We may suspend or terminate access for violations, legal/regulatory reasons, non‑payment, or risk management.
Upon termination, your right to access the Platform ceases. Certain provisions survive, including ownership, payments due, disclaimers, limitations of liability, and indemnities.
17. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the Platform or email. Continued use constitutes acceptance of the updated Terms.
18. Governing Law and Dispute Resolution

Dispute resolution: The parties will attempt to resolve disputes amicably. You represent that you and your beneficial owners are not subject to sanctions and will comply with applicable export controls, anti‑corruption, and anti‑money laundering laws.
20. Notices and Communications
We may contact you via email, in‑app notifications, or your admin portal. You must keep your contact details current.
21. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and any service‑specific terms, constitute the entire agreement.
Severability: If any provision is unenforceable, the remainder remains in effect.
Assignment: You may not assign without our prior written consent; we may assign in connection with a merger, acquisition, or sale of assets.
No Waiver: Failure to enforce a provision is not a waiver.
